1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ClearSanction ("ClearSanction," "we," "us," or "our") governing your access to and use of the ClearSanction platform, including our website, services, and applications (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

ClearSanction provides a compliance platform for screening individuals and entities against politically exposed persons (PEP) and sanctions lists. Our Service includes:

• Search functionality for PEP and sanctions screening
• Access to global sanctions and watchlist databases
• Bulk screening capabilities (Pro plan)
• API access for automated screening (Pro plan)
• Compliance reporting and audit logs

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Account Registration and Security

3.1 Account Creation

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the authority to enter into this agreement

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling two-factor authentication

4. Subscription Plans and Billing

4.1 Plans

We offer the following subscription plans:

• Free Plan: Limited to 10 searches per month with basic features
• Pro Plan: 2000 searches, bulk screening, API access, and advanced features for £49/month

4.2 Payment Terms

• Subscription fees are billed monthly in advance through our payment processor, Paddle
• All fees are refundable within 14 days of purchase as required by law
• You authorize us to charge your payment method automatically
• Price changes will be communicated 30 days in advance and apply to subsequent billing cycles

4.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. No refunds will be provided for partial months.

4.4 Refund Policy

Our refund policy is as follows:

• General Policy:You can request a full refund within 14 days of purchase, no questions asked. When you cancel your subscription, you will retain access to Pro features until the end of your current billing period.
• 7-Day Satisfaction Guarantee: If you upgrade to Pro and are not satisfied with the service, you may request a full refund within 7 days of your initial purchase. This applies only to first-time Pro subscribers.
• Service Outages: If the Service experiences significant downtime (more than 24 consecutive hours) due to issues within our control, you may be eligible for a prorated credit or refund at our discretion.
• Billing Errors: If you are charged in error, we will promptly refund the incorrect charge upon verification.
• Refund Requests: To request a refund, contact us at billing@clearsanction.com with your account details and reason for the request. Refunds are processed within 5-10 business days to your original payment method.
• Chargebacks: If you initiate a chargeback or payment dispute with your bank or payment provider, your account will be immediately suspended pending resolution. False or fraudulent chargebacks may result in permanent account termination.

Refunds are issued at our sole discretion and in accordance with applicable consumer protection laws. Nothing in this policy limits your statutory rights as a consumer.

5. Acceptable Use Policy

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service except through our API (Pro plan only)
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense the Service without written permission
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity or misrepresent your affiliation
• Harass, abuse, or harm other users

6. Data Usage and Privacy

Your use of the Service is subject to our Privacy Policy. By using the Service, you consent to our collection and use of your data as described in the Privacy Policy.

You retain ownership of any data you submit to the Service. You grant us a limited license to use, process, and store your data solely to provide the Service.

7. Intellectual Property Rights

7.1 Our Rights

The Service and its content, features, and functionality are owned by ClearSanction and are protected by copyright, trademark, and other intellectual property laws. This includes:

• Software, code, and algorithms
• Database structures and compilations
• Design, graphics, and user interface
• Trademarks, logos, and branding
• Documentation and training materials

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

8. Third-Party Data Sources

The Service aggregates data from various government and international sanctions lists. While we strive for accuracy:

• Data is provided "as is" from third-party sources
• We do not guarantee completeness, accuracy, or timeliness
• You are responsible for verifying results and making independent compliance decisions
• Data updates occur regularly but may have delays

9. Disclaimers and Limitations

9.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.2 Not Legal Advice

ClearSanction is a technology platform and does not provide legal, compliance, or regulatory advice. You should consult with qualified legal professionals regarding your specific compliance obligations.

9.3 Service Availability

We do not guarantee uninterrupted or error-free service. The Service may be unavailable due to maintenance, updates, or circumstances beyond our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARSANCTION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers or your data
• Any bugs, viruses, or harmful code transmitted through the Service
• Any errors or omissions in content or data
• Any decisions made based on information obtained from the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless ClearSanction, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any law or regulation
• Your violation of any third-party rights
• Your use or misuse of the Service
• Any content you submit to the Service

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• Inactivity for an extended period
• At our sole discretion

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@clearsanction.com to attempt to resolve the dispute informally.

13.2 Arbitration Agreement

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

13.3 Class Action Waiver

You and ClearSanction agree that any proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15. General Provisions

15.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and ClearSanction regarding the Service.

15.2 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.4 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

15.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16. Sanctions & Watchlist Data Attribution

Certain sanctions, watchlist, and politically exposed persons (PEP) data used in this service is sourced from OpenSanctions, made available under the Open Database License (ODbL) v1.0.
